Terms and Conditions
General
The Company Warwick Plant Genomic Libraries Limited ("WPGL") will agree to sell Products and/or Services supplied by the Company and the person, firm, company or institution ("Buyer") will purchase the Products and/or Services under the Terms and Conditions below.
The Products means any goods manufactured or supplied by WPGL, the Services means all advice given and services performed by WPGL.
No quotation provided by WPGL shall constitute a Contract to supply Products and/or Services. The Contract means any agreement for the sale and purchase of Products and/or Services between WPGL and the Buyer, and includes any quotation of WPGL which is accepted by the Buyer or any order of the Buyer which is accepted by WPGL, whichever occurs first.
These Terms and Conditions shall be incorporated into each Contract and shall govern each Contract to the exclusion of any condition of the Buyer. These Terms and Conditions may not be varied or waived except with the express written consent of the Company.
All Contracts to supply Products are subject to availability. Any error or omission in any quotation, sales literature, invoice or other documentation issued by WPGL shall be subject to correction by WPGL without liability to WPGL.

- The catalogue number, name and quantity of each item
- A VAT Exemption Certificate must be provided if your order is VAT excempt

Pricing and Delivery Terms
Prices are subject to change without notice. Where applicable, VAT at the rate prevailing at the time will be added to the prices quoted. Payment terms are 30 days from invoice date.
Delivery charges are included for all standard products. Custom orders requiring refrigeration may be charged delivery. The Company's shipping responsibility ceases with safe delivery of the products in good condition to the delivery address provided by the purchaser.
Shipping Errors and Returns
While all due care is taken to ensure the correct products are delivered any discrepancy, damage or faulty goods must be notified to WPGL within 14 days of delivery. WPGL will not issue return authorisation for unwanted goods delivered in accordance with the Contract and will not accept unauthorised returns.
Payment
Payment must be in GB pounds. All costs including legal expenses incurred by WPGL in recovering overdue debts will be payable by the Buyer. WPGL reserves the right to withhold further supplies in the event of any breach of the Terms and Conditions amounts payable being overdue or for any other reason which at the discretion of WPGL warrants such action.
Product Use
WPGL's products are for research or laboratory use only and are not to be used on humans or animals or for any drug purposes or diagnostic procedures. WPGL shall not be responsible for injury or damages arising from the use or misuse of any of its products.
WPGL recommends that persons using its products follow the Guidelines for Research involving Recombinant DNA Molecules (N.I.H. guidelines) Federal Register, July 5, 1994 (59 FR 34496) and any amendments thereto, or other applicable guidelines.
Warranties
WPGL warrants that its products will conform to the standards stated in its product specification information in effect at the time of shipment. WPGL will replace, free of charge, any product that does not conform to the specifications. This warranty limits WPGL's liability only to the replacement of the product. THIS WARRANTY EXCLUSIVE, AND WPGL MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The stated express warranties, and the remedy provided for breach thereof, are in lieu of all other liability or obligations of WPGL for any damages whatsoever arising out of or in connection with the delivery, use, performance, or the inability to use any of its products. IN NO EVENT SHALL WPGL BE LIABLE UNDER ANY LEGAL THEORY (INCLUDING BUT NOT LIMITED TO CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT, OR WARRANTY OF ANY KIND) FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS). Without limiting the effect of the preceding sentence, WPGL's maximum liability, if any, shall not exceed the purchase price paid by PURCHASER for the product.
Patents and Licenses
CopyControl™ Products are covered by U.S. Patent No. 5,874,259 licensed to EPICENTRE and by other patents pending and assigned to EPICENTRE for specific CopyControl vectors and/or cell lines. By purchasing CopyControl systems or vectors, the purchaser receives the right to use the product purchased from EPICENTRE or clones obtained therefrom solely for life science research. Purchase of these products does not grant rights to: (1) offer products, components of products, or any derivatives thereof for resale; or (2) to distribute or transfer the products, components of products, or derivatives thereof to third parties.
